CORPORATE TRANSPARENCY ACT

Beneficial Ownership Information Reporting

A New Federal Reporting Requirement

Effective January 1, 2024, new regulations require many U.S. companies to report their beneficial ownership information to the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury. This federal reporting requirement, part of the Corporate Transparency Act, aims to combat financial crimes and increase frankness in U.S. businesses.

Who Needs to Report?

Your company may need to report if it is:

  • A corporation, a limited liability company (LLC), or a similar entity created in the U.S. by filing a document with a secretary of state or any similar office

  • A foreign company registered to do business in any U.S. state or Indian tribe

How to Report

There is a 57-pg. compliance guide for BOI on FinCEN’s website.  Reports must also be submitted electronically through FinCEN’s website: www.fincen.gov/boi

Reporting Deadlines

Note: In light of a recent federal court order, reporting companies are not currently required to file beneficial ownership information with FinCEN and are not subject to liability if they fail to do so while the order remains in force. However, reporting companies may continue to voluntarily submit BOI reports.

  • Existing Companies (created or registered before January 1, 2024): Report by January 1, 2025

  • New Companies (created or registered between January 1, 2024, and January 1, 2025): Report within 90 days of creation or registration

  • New Companies (created or registered on or after January 1, 2025): Report within 30 days of creation or registration

Updates and Changes

Any changes to the information in a previously filed BOI report must be reported within 30 days of the change. Failure to comply with these requirements can result in severe penalties, including fines and imprisonment.
